1. About These Terms

These Terms of Use (the "Terms") govern your access to and use of the website located at aiseniormanager.com and any related pages, content, and features we make available (collectively, the "Site"). They are a contract between you and AI Senior Manager, LLC ("AI Senior Manager," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

These Terms do not govern any consulting engagement with us. If you become a client, your engagement is governed exclusively by a separate written Service Agreement (and any related Statement of Work, Data Processing Agreement, and Privacy Policy) that you sign. Nothing on this Site, and nothing in these Terms, creates a services relationship, a quote, an offer, or a binding commitment to provide services. In the event of any conflict between these Terms and a signed Service Agreement, the signed Service Agreement controls.

The Site describes our workforce intelligence and leadership consulting services, including configuration of client-deployed workforce tracking tools, data extraction and analysis, and recurring reporting with AI-assisted narrative insights. All service descriptions, packages, tiers, and pricing references on the Site are for general information only, are not an offer, and may change without notice. Actual deliverables, scope, cadence, and pricing are defined solely in an executed Service Agreement.

4. Intellectual Property

4.1 Our Content

The Site and its contents (including text, graphics, logos, the AI Senior Manager name and marks, design, layout, and underlying code) are owned by AI Senior Manager, LLC or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own informational and evaluation purposes.

4.2 Restrictions

Except as expressly permitted, you may not copy, reproduce, republish, distribute, modify, create derivative works from, frame, scrape, or commercially exploit any part of the Site without our prior written consent. You may not use our name, logo, or marks without permission.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to the Site or these Terms will be resolved first through good-faith negotiation, and if unresolved, through binding arbitration in Teton County, Wyoming under the Commercial Arbitration Rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights. Any claim relating to the Site must be brought within one (1) year after it arises.

14. General

• Severability. If any provision of these Terms is held unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full effect.
• Waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
• Force Majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including internet or cloud-provider outages, third-party platform failures, cyberattacks, natural disasters, or government action.
• Entire Agreement (Site). These Terms and the Privacy Policy are the entire agreement between you and us regarding your use of the Site. They do not supersede or modify any signed Service Agreement governing a consulting engagement.
